What it holds
The entities around every deal.
A credit strategy runs on legal entities: the fund, the vehicles that lend and borrow, the holding companies above them and the banks, administrators, trustees and lawyers that serve them. Alethia is where those entities are kept, with ownership, officers, documents, bank accounts and obligations held against each.
Where the work piles up
What credit structures make hard.
Every deal adds vehicles and parties. These are the points where the record falls behind.
Many borrower and lender vehicles per deal
Each deal brings its own SPVs and holdcos. Tag them by deal or role and group them in a project, so a deal's vehicles are one list and one structure chart.
Counterparty KYC
Banks and other counterparties ask for the same facts about each vehicle. Answer from the entity, ownership, officer and document records, and run your own cases on counterparties. KYC is on the Governance plan.
Who signs what
Signatories, their authority and their approval limits are recorded against each account, with a review date, so the mandate is a record and not a memory.
Deal documents scattered across folders
Documents are filed against the entities they concern, and one document can link to several vehicles, so the borrower, the lender and the holdco all find it.
Counterparty KYC
A KYC case on the entity record.
A case starts from a checklist for the type of entity or counterparty, tracks the evidence still needed and shows the owner, the stage and the next action. Source of funds can be required before a decision is approved, with a second person accepting it. KYC is part of the Governance plan; the Free plan does not include it.
Directory
Counterparties and service providers, held once.
Banks, fund and SPV administrators, trustees, legal counsel, auditors, registered agents, company secretaries, tax advisers and transfer agents are recorded once in a service-provider directory with their contacts, then attached to every entity they serve. Any other party is recorded as Other. Replacing a provider is one edit that shows on each entity that uses it.
Documents
Deal paperwork, filed against the vehicles it concerns.
The register shows each document with the entities it is linked to and the project it belongs to, so a questionnaire sent to a bank, or a set of minutes, is found from any vehicle it concerns.
Questions
What does entity management mean for a private credit manager?
It means a governed record of the legal entities around each deal: the funds, the borrower and lender vehicles and their holding companies, with who owns and controls each, who may sign for it, which counterparties and service providers sit around it and where its documents are. Alethia is the register for those entities.
How are counterparties and service providers recorded?
Banks, fund and SPV administrators, trustees, legal counsel, auditors, registered agents, company secretaries and tax advisers are held once in a service-provider directory and attached to the entities they serve. Other parties are recorded as Other. A change to a provider is made once and shows on every entity that uses it.
Can we manage bank accounts and signing mandates?
Yes. Each account is recorded against the vehicle that holds it, with its signing rule, approvers and review date. The mandates view lists each signatory with the authority they hold and their approval limit, so who signs what is a list rather than a thread of emails.
Can we run KYC on counterparties?
Yes, on the Governance plan. Open a case for an entity or a counterparty from a checklist suited to its type, attach evidence, and record a decision. Incoming KYC requests from banks and other counterparties can be answered from the same records. The Free plan does not include KYC or compliance.
Can we keep deal documents with the vehicle?
Yes. Documents are filed against the entities they concern, and one document can be linked to several vehicles, so a deal's paperwork is found from the borrower, the lender or the holdco.
