Where the work piles up
What real estate structures make hard.
Property groups multiply entities by design. These are the points where the paperwork falls behind.
Dozens of near-identical SPVs
One propco per asset means many entities that differ by a name, a number and a date. A register with filters by jurisdiction, legal form, tag and project keeps them apart.
Joint venture partner percentages
A JV share is an ownership interest, recorded by legal, voting and economic basis, and an entity can have more than one parent. The chart shows what the records say.
Acquisition and refinancing paperwork
The movements of an acquisition, from investors down the chain to the seller, are laid out in a funds flow with sources and uses checked, and the documents sit against the entities they concern.
Filings for every SPV
Each propco has its own confirmation statements, accounts and returns. Obligations carry due dates, owners and status in one list. Compliance is on the Governance plan.
Properties
A property is a record on the entity that holds it.
Each property is recorded against its holding entity with its title number, tenure, use class and a valuation with its date and currency. Leases record the tenant, passing rent and expiry, and the entity reads passing rent and the weighted average unexpired lease term from them.
- Title number, tenure and use class
- Valuation with date and currency
- Tenant, passing rent and lease expiry
Joint ventures
Who holds what, by percentage and by basis.
A fund, a co-investor and a general partner can each hold part of the same vehicle, and the ownership tab lists every interest with its percentage. The totals are checked per basis, so a joint venture that does not add up is visible before an investor or lender asks about it.
Acquisitions
Plan the acquisition funds flow before the entities exist.
- A row per movement
- Sources and uses checked
- Posted as entities and ownership
Bank accounts
An account for each propco, against the propco.
Operating, rent-collection and debt-service accounts are recorded against the property company that holds them, with the bank, currency, signing rule and review date on the row.
UK property companies
Pull the register in, after you say yes.
For a UK propco, look the company up on Companies House and, once you confirm, pull its officers, people with significant control and filed documents into the record. It works on every plan, including Free, and nothing enters a record until a person confirms it.
Questions
How do I manage dozens of near-identical property SPVs?
Each SPV is a record in one register, filtered by jurisdiction, legal form, tag or project, so a portfolio of propcos reads as a list rather than a folder of near-duplicate files. Projects group them by fund, deal or portfolio, and you can bring an existing set in from a spreadsheet.
Can it show a joint venture with partner percentages?
Yes. Ownership is recorded per interest, by legal, voting and economic basis, and an entity can have more than one parent. A joint venture partner's share sits on the ownership record and the structure chart draws it, so the chart shows the percentages as they stand.
Does it record properties, valuations and leases?
Yes. A property is recorded against the entity that holds it, with its title number, tenure, use class and valuation with a date and currency. Leases record the tenant, passing rent and expiry, from which the entity shows passing rent and the weighted average unexpired lease term.
Can I pull UK property SPV details from Companies House?
Yes, on every plan including Free. Look up a UK company and, once you confirm, pull its officers, people with significant control and filed documents into the record. Nothing is added until a person says yes. Companies House covers UK companies only.
Can I plan an acquisition's funds flow?
Yes. The funds-flow designer lays out each movement between investors, the fund, the holding chain, the lender and the seller, and checks that sources and uses match. The plan can then be posted as entities, ownership and obligations.
Is the compliance calendar included?
Filings, renewals and key dates are tracked per SPV with due dates and owners on the Governance plan. The Free plan covers the register, ownership, structure charts, documents and bank accounts for up to five managed entities.
