Italy's director PEC rule makes the digital address a governance asset

Italy's rules on the digital domicile of company officeholders were narrowed and clarified in late 2025, with technical Companies Register specifications taking effect on 15 January 2026. The obligation now focuses on specified managing roles, including the sole director, managing or delegated director and, where no delegated role exists, the chair. The first deadline

2026 is where the rule becomes operational

The 31 December 2025 deadline concentrated attention on the initial filing. That was only the first inventory. From 2026 onward, the control must work whenever a company appoints or renews an officeholder, changes delegated authority or replaces a digital address.

The register's updated technical checks mean incomplete or incorrectly structured filings can be blocked. A portfolio cannot therefore treat PEC as a historical field populated once by the local adviser. It is part of the data needed to make an appointment effective and maintain the public record.

The scope

The office matters more than the generic title

The current position is not simply "every director needs a PEC". The obligation focuses on the officeholder with management responsibility: the sole director, managing director or delegated director, and the chair where the company has not appointed a managing or delegated director. The regime also addresses the case where a legal person holds the office.

That distinction is exactly why a clean roles model matters. A list that records only "board member" cannot establish whether a person falls within scope. The record needs the office, the delegation and the effective dates, not just the individual's name.

The address

A PEC is part of the appointment, not an ordinary mailbox

A PEC digital domicile has legal and evidential consequences. It should belong to the officeholder or be managed under an arrangement that survives staff changes, gives the right person access and supports timely escalation of official messages.

The technical rules also prevent the officeholder's digital domicile from simply duplicating the company's own PEC address. The practical model is therefore personal or role-specific access connected to the officeholder, while the enterprise retains its separate corporate address.

The failure mode

Orphaned inboxes become governance failures

The predictable failures are mundane: a PEC subscription expires, the address is controlled by a departed employee, the adviser receives a notice without a clear escalation path, or a director resigns but the register and internal access remain unchanged.

A sound process links onboarding, renewal and offboarding. It records the address, service provider, access owner, renewal date, filing evidence and the event that ends the obligation. The purpose is not to centralise every message; it is to make sure a legally significant channel is owned and monitored.
